1. Acceptance of Terms
By accessing and using TruePager ("we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. In addition, when using these particular services, you shall be subject to any posted guidelines or rules applicable to such services. Any participation in this service will constitute acceptance of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Description of Service
TruePager provides users with tools to build, publish, and manage web pages ("the Service"). You understand and agree that the Service may include advertisements and that these advertisements are necessary for TruePager to provide the Service. You also understand and agree that the service may include certain communications from TruePager, such as service announcements, administrative messages, and the TruePager Newsletter, and that these communications are considered part of TruePager membership.
3. User Accounts
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information up to date.
You are responsible for safeguarding your password. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions.
4. User Content
You retain full ownership of any content you create, upload, or publish using TruePager ("User Content"). However, by posting User Content, you grant TruePager a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with providing the Service.
You represent and warrant that you own or have the necessary rights to use and authorize the use of your User Content as described herein. You agree not to post User Content that is illegal, offensive, or violates the rights of others.
5. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Copying, distributing, or disclosing any part of the Service in any medium, including without limitation by any automated or non-automated "scraping."
- Using any automated system, including without limitation "robots," "spiders," "offline readers," etc., to access the Service.
- Transmitting spam, chain letters, or other unsolicited email.
- Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service.
- Uploading invalid data, viruses, worms, or other software agents through the Service.
6. Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of TruePager and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of TruePager.
7. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
8. Limitation of Liability
In no event shall TruePager, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
9. Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
